The service
Nexus Signatures provides a cloud-based email signature management platform that allows businesses to create, manage, and deploy branded email signatures (“the Service”). We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice.
Account registration
To use the Service you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorised access to your account
You are responsible for all activity that occurs under your account.
Free trial
New accounts receive a 14-day free trial with access to Starter plan features. No payment information is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Unused trial days are not transferable.
Subscriptions and billing
Plans. We offer several paid subscription plans with different features and signature limits, as described on our pricing page.
Billing. Subscriptions are billed in advance on a monthly or annual basis. All prices are in GBP and exclusive of VAT where applicable.
Payment. Payment is processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until cancelled.
Price changes. We will give you at least 30 days’ notice of any price changes. Continued use of the Service after the change constitutes acceptance.
Failed payments. If a payment fails, we will notify you and your account may be downgraded or suspended. You will have a reasonable opportunity to update your payment details.
Cancellation
You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date. After cancellation, your account and data will be retained for 30 days before deletion, giving you the opportunity to resubscribe.
Refunds
All subscription fees are non-refundable. We do not provide pro-rata refunds for unused portions of a billing period. This does not affect your statutory rights. In the event of a billing error on our part, we will promptly issue a refund for the amount incorrectly charged.
As you expressly consent to the Service commencing during the 14-day free trial period, the Consumer Contracts Regulations 2013 cancellation right does not apply to paid subscriptions entered into following the trial. See our refund policy.
Acceptable use
You agree not to use the Service to:
- Upload or distribute malware, viruses, or harmful code
- Transmit spam or unsolicited commercial communications
- Infringe the intellectual property rights of others
- Violate any applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Resell or sublicense the Service without our written consent
We reserve the right to suspend or terminate accounts that violate these terms without notice.
Intellectual property
Our IP. All rights in the Nexus Signatures platform, software, branding, and content (excluding user content) are owned by or licensed to us. Nothing in these Terms grants you any rights in our intellectual property.
Your content. You retain ownership of all signatures, logos, and other content you upload or create using the Service (“User Content”). By using the Service, you grant us a limited licence to store, display, and process your User Content solely to provide the Service to you.
Feedback. If you provide feedback or suggestions, we may use these without obligation to you.
Availability and warranties
We aim to provide a reliable, high-quality service but we do not guarantee uninterrupted or error-free access. The Service is provided “as is” without warranties of any kind, to the extent permitted by applicable law.
Limitation of liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total aggregate liability to you in any 12-month period shall not exceed the fees paid by you to us during that period.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Indemnity
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Service in violation of these Terms or any applicable law.
Termination
We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or if we reasonably believe your use of the Service poses a legal or security risk. On termination, your right to use the Service ceases immediately.
Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
